Terms & Conditions

These Terms and Conditions ("Terms") describe the agreement between you ("User," "you," or "your") and MarketWise360 ("we," "our," or "us") for your use of the MarketWise360 platform and all associated services (collectively, the "Service"). By creating an account or accessing the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By registering for an account, logging in via Google OAuth, or otherwise accessing or using the Service, you confirm that:
- You are at least 18 years old;
- You have the legal authority to enter into these Terms on your own behalf or on behalf of the organisation you represent;
- You have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Service on behalf of an organisation, "you" refers to both you individually and the organisation, and you represent that you have authority to bind the organisation to these Terms.
2. Service Description
MarketWise360 is an AI-powered sales and marketing platform designed for businesses and freelance marketing consultants. The Service includes, but is not limited to:
- Email360: AI-integrated email inbox management, Smart Reply generation, inbox triage, and email analytics
- Contacts & CRM: Contact management, AI-extracted contact data, project and deal tracking
- Projects: Sales pipeline management and deal progression tracking
- Knowledge Base: AI-assisted knowledge management and content creation tools
- Socials360: Social media account integration, content scheduling, and analytics across Facebook, Instagram, Twitter/X, LinkedIn, and TikTok
- AI Analysis Tools: Email sentiment analysis, action item extraction, event detection, and priority scoring
- Organization Admin Dashboard: Multi-user workspace management for business accounts
We reserve the right to modify, add, or remove features of the Service at any time with reasonable notice where feasible. Continued use of the Service after changes constitutes acceptance of the modified Service.
3. Account Registration & Eligibility
3.1 Registration
To access the Service, you must register for an account using either a Google account (via OAuth) or a valid email address and password. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account. If you ever suspect unauthorised access, please let us know promptly at support@marketwise360.com so we can help secure your account. We are not liable for losses arising from unauthorised access that results from your failure to keep credentials secure.
3.3 One Account per User
Each individual user may maintain only one personal account. Creating multiple accounts to bypass access restrictions, subscription limits, or the beta access system is not permitted and may result in account suspension.
3.4 Beta Access
During the beta phase of the Service, access may be restricted to users on an approved list or who have received a valid invitation. We reserve the right to approve or deny access at our sole discretion during this period.
3.5 Organisation Accounts
Organisation Admins may invite team members to join their workspace. The Organisation Admin is responsible for all activities conducted by team members within their workspace and for ensuring team members comply with these Terms.
3.6 Business & Sender Information
When you use automated email features (including project/sequence automation, engagement tracking, and unsubscribe management), the Service displays business information you provide — including your business name and mailing address — directly to your contacts and recipients, and relies on it to help meet legal requirements applicable to commercial email (such as the U.S. CAN-SPAM Act). You are solely responsible for ensuring that any business name, mailing address, and other sender information you enter is accurate, current, and genuine. We perform basic, automated checks intended to catch obviously incomplete or placeholder entries, but we do not independently verify that this information is true, complete, or that it corresponds to a real address. MarketWise360 is not responsible for any consequences arising from inaccurate, incomplete, or fraudulent information you provide, including regulatory penalties, recipient complaints, delivery or deliverability issues, or reputational harm to you or your organisation.
4. Account Types, Plans & Fees
4.1 Account Types
MarketWise360 offers two distinct account types. The platform is currently in beta and paid plans are not yet open to the public.
- Solo Subscriber (Free, coming soon): A personal account for individual professionals. Full platform access including AI email, CRM, projects, and calendar tools for one user. Solo accounts are free with no credit card required. Solo subscriptions will open once beta testing is complete.
- Organisation Subscriber ($19/month, coming soon): A shared workspace for teams of up to 10 members. Includes shared inboxes, CRM, projects, and admin controls with role-based access. Organisation subscriptions will open after beta testing.
Non-profit organisations and registered NGOs may apply for a free Organisation account via the NGO application pathway. Such accounts are subject to admin review and approval and are available at our sole discretion.
4.2 Beta Period
During the current beta phase, no payment is required to use the Service. Organisation subscriptions ($19/month) are not yet available. Solo accounts are free with no credit card required for the duration of the beta; pricing for Solo accounts may be introduced in the future, and if so, we will provide reasonable advance notice before any change takes effect. We will announce the launch of Organisation paid plans with reasonable advance notice. By continuing to use the Service during beta, you agree that features, limits, and account terms may change before the public launch.
4.3 Billing (when paid plans launch)
When paid subscriptions open, fees will be billed on a recurring monthly basis, charged in advance at the start of each billing period. All fees are non-refundable except as expressly stated in these Terms or required by applicable law. We will provide at least 30 days' advance notice of the transition from beta to paid access.
4.4 Payment Processing
When payment processing is introduced, payments will be handled by Stripe, a third-party payment provider. MarketWise360 does not store full card numbers. By submitting payment information, you will authorise us to charge the applicable fees to your payment method. You represent that you are authorised to use the payment method provided.
4.5 Price Changes
We may change subscription prices at any time. For existing paid subscribers, price changes will take effect at the next renewal date, and we will provide at least 30 days' advance notice.
4.6 Refunds
Subscription fees are generally non-refundable. If you believe you have been charged in error, contact us within 14 days of the charge at support@marketwise360.com.
5. Google OAuth & Third-Party Account Connections
5.1 Authorisation
When you connect a Google account (or other third-party account such as a social media platform), you grant MarketWise360 the permissions you authorise during the OAuth consent flow. You can review and revoke these permissions at any time through your Google Account settings or the respective platform's settings page.
5.2 Scope of Access
MarketWise360 requests only the OAuth scopes necessary to provide the features you use. For Google accounts, these include Gmail read/send/modify, Calendar, and Google Sheets (read-only) access as described in our Privacy Policy — Section 4. We will not request permissions beyond what is disclosed in that section.
5.3 Third-Party Terms
Your use of Google services through MarketWise360 is also subject to Google's Terms of Service. Your connection of social media accounts is subject to the respective platform's terms of service. We are not responsible for the availability, policies, or terms of third-party services.
5.4 Google API Limited Use
MarketWise360's use of Google API data is subject to the Google API Services User Data Policy, including the Limited Use requirements. We commit to using Gmail and other Google API data solely to provide the Service features you request and not for advertising, model training, or any other purpose prohibited under that policy.
5.5 Non-Google Email (IMAP/SMTP)
You may connect non-Google email accounts via IMAP/SMTP. You represent that you are authorised to connect these email accounts to MarketWise360 and that doing so does not violate any applicable terms of service with your email provider.
6. AI Features & Third-Party AI Providers
6.1 Nature of AI Outputs
MarketWise360 provides AI-generated content, including Smart Reply drafts, email analyses, contact extractions, action items, and knowledge base suggestions. You acknowledge that:
- AI-generated outputs may be inaccurate, incomplete, or inappropriate for your specific context.
- AI outputs are suggestions only and should not be relied upon as professional advice (legal, financial, medical, or otherwise).
- You are solely responsible for reviewing and approving any AI-generated content before using, sending, or publishing it.
- MarketWise360 does not guarantee the accuracy, quality, or suitability of AI outputs for any particular purpose.
6.2 AI Provider Configuration
The Service supports multiple AI providers (Ollama, OpenRouter, Google AI/Gemini, Groq, HuggingFace). You may configure your preferred provider(s) in your account settings. Your choice of AI provider determines which third party's API terms apply to AI inference requests.
6.3 Content Transmitted to AI Providers
When you use AI features, relevant content (such as email bodies) is transmitted to the selected AI provider's API. By using AI features, you consent to this transmission as described in our Privacy Policy — Section 6. You should not use AI features on content that you are not authorised to share with third parties.
6.4 No Guarantee of Availability
AI feature availability depends on third-party provider APIs. We do not guarantee the continuous availability of any specific AI provider and may change supported providers with reasonable notice.
6.5 Prohibited AI Uses
You may not use the AI features of the Service to:
- Generate spam, phishing emails, or deceptive content;
- Create content that is illegal, harassing, defamatory, or infringes third-party rights;
- Attempt to circumvent the guidelines or safety filters of any AI provider;
- Produce content in violation of any applicable laws or regulations.
7. Email Data & Data Use Consent
7.1 Your Data
Your email content, contacts, and other data you input into the Service ("User Data") remain your property. We do not claim ownership over User Data. By using the Service, you grant MarketWise360 a limited, non-exclusive licence to access, store, process, and display User Data solely as necessary to provide the Service features you use.
7.2 Email Sync
The email sync feature fetches and stores copies of your email messages in our database to power inbox management, AI analysis, and CRM features. You authorise this storage when you connect an email account. You may disconnect your email account at any time, which will stop future syncs, though previously synced data will remain until you request deletion.
7.3 Sent Emails
When you send an email via the Smart Reply or outreach features, MarketWise360 sends the email on your behalf using your connected email credentials. You are solely responsible for the content of emails sent through the Service.
7.4 No Use for Advertising
We do not use your email content, message data, or Google API data to serve you or anyone else targeted advertisements. We do not build advertising profiles from your email data.
7.5 Data Accuracy
You are responsible for the accuracy of the data you enter into the Service. MarketWise360 is not responsible for errors in AI-extracted data (contacts, events, action items) that arise from ambiguous or incomplete email content.
8. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation;
- Send spam, unsolicited bulk email, or engage in any form of phishing or social engineering;
- Impersonate any person or entity, or falsely claim affiliation with any person or organisation;
- Enter false, misleading, placeholder, or fraudulent business names, mailing addresses, or other sender information into the Service;
- Upload, transmit, or distribute malware, viruses, or any other harmful code;
- Attempt to gain unauthorised access to the Service, its infrastructure, or other users' accounts;
- Engage in scraping, crawling, or otherwise systematically accessing the Service beyond normal use;
- Reverse engineer, decompile, or disassemble any part of the Service;
- Circumvent or disable any security, rate-limiting, or access control features;
- Use the Service in a manner that could damage, overburden, or impair the Service's servers or infrastructure;
- Collect or harvest user data from the Service without authorisation;
- Use AI features to generate illegal, defamatory, or harmful content;
- Engage in any activity that violates the acceptable use policies of third-party services integrated with the platform (Google, social media platforms, AI providers).
We reserve the right to suspend or terminate your account if we determine that you have violated this Acceptable Use Policy. Where circumstances allow, we will contact you before taking action.
9. Intellectual Property
9.1 Our Intellectual Property
The Service, including its design, code, features, branding, trademarks, and content created by MarketWise360, is owned by MarketWise360 and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with these Terms. Nothing in these Terms transfers any intellectual property rights in the Service to you.
9.2 Your Intellectual Property
You retain all intellectual property rights in User Data you input into the Service. By using the Service, you grant MarketWise360 a limited licence to process, store, and display User Data as necessary to provide the Service, as described in these Terms and the Privacy Policy.
9.3 Feedback
If you submit feedback, suggestions, or ideas about the Service, you grant MarketWise360 a non-exclusive, perpetual, irrevocable, royalty-free licence to use and incorporate that feedback into the Service without any obligation to compensate you.
9.4 AI-Generated Content
AI-generated outputs (Smart Replies, analyses, knowledge base content) produced using your data belong to you, subject to any applicable laws regarding AI-generated works. We make no representation that AI-generated outputs are original or protected by intellectual property rights.
10. Privacy
Your privacy is important to us. Our Privacy Policy describes how we collect, use, store, and protect your personal data, including Google API data, email content, and AI-processed information. The Privacy Policy is incorporated into these Terms by reference and forms part of the agreement between you and MarketWise360.
By using the Service, you acknowledge that you have read our Privacy Policy and understand how we handle your data. If you have questions, please contact us at legal@marketwise360.com before using the Service.
11. Disclaimers & No Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MARKETWISE360 EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED OUTPUTS;
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- WARRANTIES REGARDING THE AVAILABILITY OR PERFORMANCE OF THIRD-PARTY SERVICES, AI PROVIDERS, OR INTEGRATED PLATFORMS.
AI-generated content, including Smart Reply suggestions, email analyses, and extracted data, is provided for informational purposes only. You are solely responsible for decisions made based on AI outputs.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MARKETWISE360, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL;
- DAMAGES ARISING FROM RELIANCE ON AI-GENERATED OUTPUTS;
- DAMAGES ARISING FROM UNAUTHORISED ACCESS TO YOUR ACCOUNT;
- DAMAGES ARISING FROM THIRD-PARTY SERVICE OUTAGES OR POLICY CHANGES (INCLUDING GOOGLE API CHANGES);
- ANY MATTER BEYOND OUR REASONABLE CONTROL.
IN NO EVENT SHALL MARKETWISE360'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MARKETWISE360 IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100).
Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless MarketWise360, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service or violation of these Terms;
- User Data you submit to the Service, including email content you process through AI features;
- Your violation of any third-party rights, including intellectual property rights or privacy rights;
- Emails you send through the Service;
- Any business name, mailing address, or other sender information you provide being inaccurate, incomplete, or fraudulent;
- Your use of the Service and any representations you make about it to third parties.
14. Termination
14.1 Termination by You
You may terminate your account at any time by contacting us at support@marketwise360.com or using the account deletion feature in the Service. Termination does not entitle you to a refund of any prepaid fees.
14.2 Termination by Us
We reserve the right to suspend or terminate your access to the Service, with or without notice, if:
- You violate any provision of these Terms;
- We are required to do so by applicable law;
- We discontinue the Service (with reasonable advance notice where possible);
- Your account has been inactive for an extended period (applies to non-paying accounts).
14.3 Effect of Termination
Upon termination: your access to the Service will cease; your data will be retained for up to 90 days for account recovery purposes and then deleted or anonymised as described in our Privacy Policy — Section 9; provisions of these Terms that by their nature should survive termination (including Sections 8, 9, 11, 12, 13, and 15) will survive.
15. Governing Law & Dispute Resolution
15.1 Governing Law
These Terms are governed by and construed in accordance with applicable law. For users in the European Union or United Kingdom, any mandatory consumer protection provisions of your country of residence shall apply in addition to these Terms.
15.2 Informal Resolution
Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute informally by contacting us at legal@marketwise360.com. We will try to resolve the dispute within 30 days of receiving your notice.
15.3 Formal Disputes
If informal resolution fails, any dispute arising out of or relating to these Terms shall be resolved through binding arbitration or, where arbitration is not permitted or enforceable under applicable law, through competent courts of applicable jurisdiction. You waive any right to participate in a class action lawsuit against MarketWise360, to the extent permitted by applicable law.
15.4 EEA/UK Users
If you are a consumer located in the EEA or United Kingdom, you retain the right to bring claims in the courts of your country of residence and to benefit from any mandatory consumer protection provisions applicable in your jurisdiction.
16. Third-Party Services & Events Outside Our Control
MarketWise360 integrates with a range of third-party services — including Google APIs, social media platforms, AI providers, and payment processors — to deliver the features you use. While we work hard to ensure a seamless experience, we want to be transparent: we do not control these third parties, and certain situations that arise from them are beyond our ability to prevent or manage.
16.1 Third-Party Service Availability & Changes
Third-party services may experience outages, change their APIs, update their terms of service, or remove features without notice. MarketWise360 is not responsible for any disruption, loss of data, or degraded service that results from changes or interruptions at a third-party provider (including Google, social media platforms, or AI providers).
16.2 Third-Party Data Incidents
When you use AI features, relevant content is transmitted to your configured AI provider's infrastructure. When you connect social accounts, your data passes through those platforms' systems. MarketWise360 implements reasonable security measures for data under our direct control, but we are not responsible for data incidents, breaches, or unauthorised access that occur within third-party systems — systems that are outside our infrastructure and beyond our control.
16.3 User Responsibility for Third-Party Connections
The decision to connect third-party accounts — Google, social media, AI providers, or email servers — is yours. By making those connections, you accept the terms and risks associated with those services. We encourage you to review the privacy policies and terms of any third-party service you connect before doing so. MarketWise360 is not liable for how those services collect, use, or process your data under their own policies.
16.4 Force Majeure
MarketWise360 is not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control. This includes, but is not limited to: internet infrastructure failures, cloud hosting outages, cyberattacks on our infrastructure by third parties, natural disasters, government actions, changes in law, or actions by AI providers or platform operators that affect service delivery.
16.5 No Guarantee of Third-Party Accuracy
Data retrieved from third-party sources (e.g., email metadata from Google, post metrics from social platforms, or spreadsheet data from Google Sheets) is provided as-is from those sources. MarketWise360 does not verify the accuracy of third-party data and is not responsible for inaccuracies, errors, or omissions originating from those external systems.
17. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 30 days before the changes take effect and post a notice within the Service. Minor changes (such as clarifications) may be made with shorter notice.
Your continued use of the Service after the revised Terms take effect means you accept the updated Terms. If you have concerns about any changes, you're welcome to reach out to us or close your account — we'll help you through the process.
